Infosys Promoters, Including Nandan Nilekani and Sudha Murthy, Opt Out of Rs 18,000 Crore Buyback

Bengaluru, 23rd October 2025: Infosys’ promoters and promoter group, including Nandan Nilekani and Sudha Murthy, will not participate in the company’s ₹18,000 crore share buyback, the IT giant disclosed in a regulatory filing on Wednesday (October 22).

At the time of the buyback announcement, promoters held a combined 13.05% stake in the company. This group includes co-founder NR Narayana Murthy’s family—wife Sudha Murthy, daughter Akshata Murthy, and son Rohan Murthy—along with Nandan Nilekani, his wife Rohini Nilekani, and their children Nihar and Jhanvi Nilekani. Other co-founders and their families also hold stakes.

Buyback Details
Infosys approved its largest-ever buyback of ₹18,000 crore during a board meeting on September 11, 2025. The company plans to repurchase 100 million shares at ₹1,800 per share, representing 2.41% of its total equity.

The buyback aims to meet medium-term strategic and operating cash needs and to return excess funds to shareholders as part of its capital allocation policy. Under this policy, starting FY2025, Infosys intends to return roughly 85% of free cash flow over five years through dividends, share buybacks, or special dividends, with annual dividend growth expected.

Past Buybacks
Infosys has conducted three prior buybacks: ₹13,000 crore in 2017 (113 million shares), ₹8,260 crore in 2019, and ₹9,300 crore in 2022. This latest buyback is expected to reduce the company’s equity base and enhance long-term shareholder value.

Share Performance
Infosys shares closed at ₹1,472 on Tuesday, up 0.72%, though the stock has declined 20% over the past year. The company’s market capitalization stands at ₹6.10 lakh crore.
